1. Agreement to these Terms

These Terms of Service (“Terms”) form an agreement between you and Studio Pilot (“Studio Pilot”, “we”, “us”), a sole proprietorship operating from Alberta, Canada, and they govern your use of the Studio Pilot website and service at studiopilot.ca.

By creating an account or using the service, you accept these Terms. If you do not accept them, do not use Studio Pilot.

Our Privacy Policy explains what data we access, how we use it, and how to delete it. It forms part of this agreement.

2. What Studio Pilot does

Studio Pilot is a publishing tool for YouTube creators. You connect your own YouTube channel, select a video file, and Studio Pilot helps you prepare the metadata for it — title, description, tags, chapter timestamps and a thumbnail — and then uploads that video to your channel on your behalf.

You remain in control of what is published. Every field Studio Pilot suggests is editable, and nothing is uploaded to your channel without your explicit confirmation.

3. Eligibility

You must be at least 13 years old to use Studio Pilot, and old enough to hold a YouTube account in your country. If you are under the age of majority where you live, you may use Studio Pilot only with the involvement of a parent or guardian.

You must have the right to publish to the YouTube channel you connect.

4. Your account

You are responsible for what happens under your account, including keeping your sign-in credentials secure. Tell us promptly if you believe your account has been accessed without your permission.

One account is for one person or organisation. Do not share account access to give multiple parties the benefit of a single subscription.

5. YouTube and Google

Studio Pilot uses YouTube API Services. Your use of Studio Pilot is therefore also governed by the YouTube Terms of Service, and Google’s use of your data by the Google Privacy Policy.

When you connect your channel, you grant Studio Pilot permission to upload videos on your behalf and to read information about your own channel and videos. We request only the permissions the product actually needs.

You can withdraw that permission at any time, either by clicking Disconnect in Studio Pilot — which deletes the tokens we hold immediately — or through Google’s security settings page.

Studio Pilot is not affiliated with, endorsed by, or sponsored by YouTube or Google.

6. Your content and your responsibility for it

You keep all ownership of the videos, thumbnails, text and other material you upload or create using Studio Pilot. We claim no ownership over it.

You grant us a limited licence to process that content solely to provide the service to you — for example, to transfer your video to YouTube, to generate suggestions from it, and to display it back to you in the app. That licence ends when you delete the content or your account.

You are responsible for what you publish. You confirm that you hold the necessary rights to the content you upload, and that publishing it does not infringe anyone else’s rights or break the law or YouTube’s policies. Studio Pilot uploads what you approve; it does not review your content for legality or compliance.

7. AI-generated suggestions

Studio Pilot uses automated systems, including third-party AI models, to suggest titles, descriptions, tags, chapters and thumbnails based on your video.

These are suggestions, not guarantees. They may be inaccurate, unoriginal, or unsuitable for your video, and they may resemble suggestions given to another user for similar content. You are responsible for reviewing anything you publish. We make no promise about how a video will perform, how many views it will receive, or what effect Studio Pilot will have on your channel.

8. Acceptable use

You agree not to use Studio Pilot to:

9. Free tier, subscriptions and billing

Studio Pilot offers a free allowance of uploads so you can evaluate the product without payment. Beyond that allowance, continued use requires a paid subscription.

Paid plans are billed in advance on a recurring basis — monthly or yearly, as you choose — and renew automatically until cancelled. Prices are shown at checkout in the currency that applies to you, and applicable taxes are added or included as indicated there.

Payments are processed by Stripe. We do not receive or store your full card details.

We may change prices. If we change the price of a plan you are already on, we will give you notice before it takes effect, and you may cancel before renewal if you do not wish to continue.

10. Cancellation and refunds

You may cancel at any time from your account. Cancellation stops future renewals; your subscription remains active until the end of the period you have already paid for, and you keep access until then.

Payments already made are generally non-refundable, except where refund is required by law. If something has gone genuinely wrong — you were charged in error, or the service did not work — contact us and we will deal with it fairly.

You can delete your account at any time. Deleting your account removes your data as described in the Privacy Policy. Deleting your Studio Pilot account does not delete videos already published to your YouTube channel; those are yours and remain under your control on YouTube.

11. Availability and quota limits

We aim to keep Studio Pilot available, but we do not guarantee uninterrupted service. We may need to suspend it for maintenance, and it depends on third parties — YouTube, Google, our hosting and AI providers — whose outages are outside our control.

YouTube enforces a daily limit on how many uploads an application may make across all of its users. If that limit is reached, uploads may be delayed until it resets. We will tell you clearly when this is what has happened rather than presenting it as a fault with your video or channel.

12. Intellectual property

Studio Pilot, including its software, design, and branding, belongs to us. These Terms do not transfer any of it to you. You may not copy, modify, or create derivative works from the service except as the law expressly permits.

If you send us feedback or suggestions, we may use them to improve the product without obligation to you.

13. Third-party services

Studio Pilot depends on services operated by others, including YouTube and Google, our payment processor, our hosting and database provider, and third-party AI model providers. Your use of Studio Pilot is also subject to their terms where they apply. We are not responsible for their acts or omissions.

14. Suspension and termination

You may stop using Studio Pilot and delete your account at any time.

We may suspend or terminate an account that breaches these Terms, that is being used unlawfully, or that puts the service or other users at risk. Where it is reasonable to do so, we will give notice and an opportunity to put things right first. If we terminate your account without cause while you are on a paid plan, we will refund the unused portion of your current period.

15. Disclaimers

Studio Pilot is provided “as is”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows.

We do not warrant that the service will be error-free, that suggestions will be accurate or effective, or that use of Studio Pilot will increase your views, subscribers, or revenue.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions above apply only so far as the law permits, and nothing in these Terms limits rights you have as a consumer that cannot be waived.

16. Limitation of liability

To the fullest extent permitted by law, Studio Pilot is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, arising out of your use of the service.

Our total liability for any claim relating to Studio Pilot is limited to the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) CA$50.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence.

17. Changes to these Terms

We may update these Terms as the product changes. When we do, we will update the date at the top of this page. If a change materially reduces your rights, we will give you reasonable notice by email or in the app before it takes effect.

Continuing to use Studio Pilot after a change takes effect means you accept the updated Terms. If you do not accept them, you may cancel and delete your account.

18. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Alberta have jurisdiction, except that if you are a consumer resident elsewhere, you keep any right you have to bring proceedings in your own country’s courts under its mandatory consumer law.
